THESE TERMS AND CONDITIONS ARE LEGALLY BINDING.
PLEASE READ THEM CAREFULLY BEFORE YOU REGISTER FOR THE SERVICE.

Definitions Used

Computershare means the Computershare group of companies. Computershare will provide the Service.

eTree means the Computershare initiative with American Forests giving an environmental incentive to shareholders of U.S. companies to elect to receive designated regulatory and investor communications electronically.
eTree site means the internet website that you access to provide Computershare with your email address for the Service.

Member Company means a company that has agreed with Computershare to participate in eTree.

Service means the collection by Computershare of email addresses, the forwarding of those email addresses to the Member Companies you select and the notification to you of new Member Companies, as may be appropriate.


General

The use of electronic communications is entirely voluntarily. When you access the eTree site, you will be asked to provide an email address to which shareholder communications from Member Companies can be sent electronically and to select the Member Companies that Computershare will provide your email address to. You agree that Computershare may forward notification to the email address you have provided, as new Member Companies that you own shares in become available.

Electronic Communication

You will be solely responsible for obtaining and maintaining your computer system, internet access and for ensuring you can continue to receive electronic communications through your computer system.

You will need to ensure that the email address you provide to Computershare is maintained, in operation and that you regularly check this email account for new electronic mail from the Member Companies you have selected. You are responsible for promptly notifying Computershare of any changes to your email address.

Electronic communications from the Member Companies you have selected will be sent to the email address that you provide to Computershare. Computershare and the Member Companies you have selected will be deemed to have fulfilled their obligations in respect of the provision of the information requested by you by transmitting the electronic communication to the email address that you provide to Computershare, whether you receive such communications or not.

Provision of the Service

Email communication is not necessarily secure and there is always a risk that email messages will be intercepted or tampered with. In agreeing that Computershare and the Member Companies can communicate with you by email, you acknowledge and agree that these risks exist and that confidentiality cannot always be assured.

Computershare accepts no responsibility for any interception or tampering, loss of confidentiality or any errors which may take place either once an email message has been sent or for any losses, claims, damages or expenses which may be suffered or incurred by you as the result of any such interception, tampering or errors.

Computershare reserves the right without notice to make any technical changes it considers necessary or desirable to the Service or the eTree site where Computershare considers that it is in your interests to do so. Computershare will not be responsible if any upgrade to the Service means that you are no longer able to access the Service.

Computershare strives to provide the Service and have the eTree site available in an uninterrupted manner. However, for reasons beyond the control of Computershare, the Service or the eTree site may be unavailable at any time without notice. Computershare will not be liable to you for any loss suffered by you in the event that the Service and/or the eTree site are not provided in a continuous and uninterrupted manner.

Before opening or using any documents, attachments or links, you should check them for viruses and defects. Computershare’s liability in this respect is limited to re-sending the affected documents, attachments or links. You agree to ensure that all electronic communications sent by you are free of viruses or defects. If any email from you is found to contain a virus or defect, it may not be accepted by Computershare or the Member Companies.

Computershare will use reasonable care in recording the email address you provide when registering for the Service and in distributing the notices and website addresses or links to shareholder communications from Computershare client companies to you at your email address. Computershare does not guarantee that the notices or links are complete, accurate or timely. Computershare makes no representation concerning or endorsement of the content, is not responsible for the accuracy, completeness or timeliness of the content on any website to which Computershare provides a link via the Service.

The Service and any information provided to you as part of the Service are for general information and your personal non-commercial use only. The Service is not intended as, and should not be construed as providing any form of advice or recommendation regarding investments or suitability to your particular circumstances. Use of the Service is entirely voluntary and entirely at your own risk. You may stop using the Service at any time by changing your instructions on the shareholder communications election page.

THE SERVICE AND INFORMATION IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESSED, IMPLIED OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONFRINGEMENT. IN NO EVENT WILL COMPUTERSHARE BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, HOWSOEVER CAUSED, ARISING OUT OF USE OF THE SERVICE OR RELIANCE ON THE INFORMATION PROVIDED OR IN CONNECTION WITH ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS OR LINE OR SYSTEM FAILURE.

The material at the Site and as part of the Service may be protected by copyright, trademark or other intellectual property rights belonging to Computershare or other third parties. Certain names, graphics, logos, icons, designs, words, titles, phrases or other content at the Site may constitute trademarks or service marks of Computershare or other entities. The display of any such marks on the Site or as communicated as part of the Service does not imply the granting of any form of license. All product names on the Site or part of the Service are the trademarks of their respective owners. You cannot reproduce, republish, frame, transmit or redistribute the material at the Site in any way without the express written approval of Computershare or the person entitled to provide the authorization of the intellectual property subject to the replication. You must not manipulate or adapt information downloaded from the Service and you must not do anything to, or attempt to alter or modify the information. Any violation of intellectual property rights could lead to legal action.

Privacy - Collection and Disclosure Statement

Computershare collects personal information through eTree. Such information may include your name, address and e-mail address.

The primary purpose of the collection of personal information is to:

  • facilitate the current and future use of eTree;
  • enable you to use the Service to update your email information on share registers of companies which participate in eTree;
  • enable Computershare to contact you to provide information about issuers of shares you hold who have, subsequent to Computershare collecting your personal information, agreed to participate in eTree;
  • enable Computershare to contact you with a newsletter (if you have registered for it);
  • collect, maintain, use and disclose certain personal information which is governed by law.

Personal information provided to Computershare will not be disclosed by Computershare except to our related entities for provision of technology services and other support, for the purpose of them being able to notify you of new services offered and to the issuers of securities that you may hold. If you do not provide the personal information requested you will not be able to use eTree. Your email address may be disclosed to issuers of securities held by you for use in relation to the securities of that issuer.

Consent to the Electronic Delivery of Documents

Many U.S. companies are implementing a voluntary program for the electronic delivery to their shareholders of company documents such as the Annual Report and Proxy Statement. This will result in increased convenience for shareholders, benefits to our environment and reduced costs for these companies.

In order to enroll for this electronic delivery option, shareholders must agree to the following:

1) When you register your e-mail address, you will be asked which documents you would like to receive electronically. The types of documents available are:

(a) Annual Report;
(b) Proxy Statement ;
(c) Notice of Meeting;
(d) Proxy-related materials and
(e) Interim Financial Statements or Periodic Reports.

2) You will also have the opportunity to receive other types of e-mail notifications from the company in which you own securities, such as Press Releases or company marketing materials. These are optional communications and you may elect to decline to receive any of these types of communications.

3) Computershare will notify you of the availability of the requested documents by e-mailing a notice, along with the instructions for retrieving the documents electronically. In some cases, the Form of Proxy will not be made available electronically, and you will be mailed a paper Form of Proxy, along with instructions for retrieving the Annual Report, Notice of Meeting and Proxy Statement.

4) To view, download and/or save the documents, you will need a personal computer, access to the internet and the program Adobe Acrobat Reader to view the material. For shareholders without Adobe Acrobat Reader, a link will be provided to allow free download of this program. You agree that it is your responsibility to access and review the documents. Under no circumstances will Computershare be liable for any damages of any kind that result from the use of, or inability to use, the Service.

5) Documents will be available on the issuing company's website for retrieval at approximately the same time that documents are filed with the SEC and mailed to other shareholders. Documents will be available in the appropriate area of the website and will remain there until archived. Documents are generally available until at least the same reporting period the following year. Any document required to be filed electronically with the SEC is generally available for retrieval and review at http://www.sec.gov/edgar.shtml.

6) To unsubscribe or cancel your consent for electronic delivery, or to change the delivery methods of communication, go to www.computershare.com, click “Investors”, then “Electronic Shareholder Communications”. After accessing your account information with your Holder Account Number and Postal/Zip Code, you can change the method of delivery (Mail, Email or None, depending on the publication), or delete your email address and click “Submit”.

7) You may at any time request to have a paper copy of these documents provided to you at no cost by contacting the company's transfer agent, Computershare, via phone at 1-800-564-6253, via mail at Computershare, 2 N. LaSalle St., Chicago, IL 60602, or via e-mail at service@computershare.com . If the company cannot make electronic delivery available to you then paper copies will be provided to you.

8) You have reviewed these Terms and Conditions and you expressly acknowledge that use of the Service is conditioned upon acceptance of these provisions. By accessing the eTree site and any related pages, you acknowledge and agree to these terms and conditions. You should review the terms and conditions periodically and your continued access or use of the eTree site means you agree and accept them as they may be amended from time to time.

If any part of these terms and conditions is not legally enforceable, the remaining terms and conditions will not be affected and will remain valid and enforceable. These terms and conditions and all matters arising out of the use of the Site or Service shall be governed by, construed and interpreted in accordance with the laws of the State of Illinois, without reference to the choice of law doctrine of Illinois, and you hereby consent to the exclusive jurisdiction of courts in Illinois over all matters relating herein.
